By engaging us for Meta advertising services, you acknowledge that you have read, understood, and agreed to these Terms.

1. Scope of Services

Our Meta advertising services may include:

- Facebook and Instagram advertising

- Campaign planning and strategy

- Campaign setup and management

- Audience research and targeting

- Ad copywriting

- Creative development

- Campaign monitoring and optimization

- Lead generation campaigns

- Conversion campaigns

- Retargeting campaigns

- Pixel and conversion tracking setup, where applicable

- Performance reporting

The exact Services provided will depend on the package, proposal, quotation, or agreement between the Agency and Client.

2. Meta Platform

Our Services are provided using Meta's advertising ecosystem, including Facebook, Instagram, Meta Ads Manager, and related Meta technologies.

Meta is a separate third-party platform. We do not own or control Meta, its advertising systems, algorithms, policies, review processes, or account decisions.

Meta may change its advertising policies, algorithms, targeting options, pricing, features, or account-review procedures at any time.

The Agency cannot guarantee that Meta will approve or continue to deliver any particular advertisement or campaign.

3. Advertising Budget

The Client's Meta advertising budget is separate from the Agency's management/service fee, unless expressly stated otherwise in writing.

The Client is responsible for providing sufficient advertising funds to run campaigns.

Advertising expenditure is paid to Meta or processed through the Client's Meta advertising account, unless otherwise agreed.

The Agency does not control Meta's advertising charges, auction prices, CPM, CPC, CPL, or other platform costs.

4. Agency Fees

The Client agrees to pay the Agency's service or management fees according to the applicable quotation, package, invoice, or service agreement.

Agency fees are separate from Meta advertising expenditure.

Failure to pay Agency fees on time may result in suspension of campaign management and related Services.

5. No Guaranteed Results

The Client acknowledges that advertising performance depends on many factors beyond the Agency's control.

We do not guarantee:

- A specific number of leads

- A specific number of sales

- A specific return on ad spend (ROAS)

- A specific cost per lead

- A specific cost per purchase

- A specific number of impressions or clicks

- A specific conversion rate

- A specific revenue amount

- Approval of advertisements by Meta

- Continued operation of a Meta advertising account

Past performance or examples provided by the Agency do not constitute a guarantee of future results.

6. Meta Ad Approval

All advertisements are subject to Meta's advertising policies and review systems.

An advertisement may be rejected, restricted, limited, or removed by Meta.

If an advertisement is rejected, the Agency may make reasonable adjustments to attempt to bring the advertisement into compliance.

However, the Agency does not guarantee approval.

The Agency is not responsible for advertising restrictions, rejected advertisements, disabled accounts, reduced delivery, or other actions taken by Meta where such actions are outside the Agency's reasonable control.

7. Client Responsibility for Compliance

The Client is responsible for ensuring that its products, services, offers, claims, pricing, promotions, landing pages, and business practices comply with applicable laws and Meta's policies.

The Client must not request the Agency to create advertisements that are unlawful, deceptive, misleading, fraudulent, discriminatory, or otherwise prohibited.

If the Agency reasonably believes that requested advertising activity may violate applicable law or Meta's policies, the Agency may refuse or modify the requested work.

8. Client Information and Materials

The Client must provide accurate and complete information necessary to create and manage campaigns.

This may include:

- Business information

- Product/service information

- Pricing and offers

- Logos and brand assets

- Images and videos

- Testimonials

- Landing pages

- Customer information, where legally permitted

- Meta Business Manager access

- Meta Ad Account access

- Facebook Page access

- Instagram account access

- Pixel or tracking access, where applicable

The Client is responsible for ensuring that it has the necessary rights to use all materials supplied to the Agency.

9. Meta Account Access

The Client may be required to provide the Agency with appropriate access to its Meta Business Manager, advertising account, Facebook Page, Instagram account, or other relevant assets.

The Agency will use such access only for purposes related to providing the agreed Services.

The Client remains the owner/controller of its Meta advertising assets unless otherwise agreed in writing.

The Agency does not guarantee the restoration of an account that has been restricted, suspended, disabled, or permanently removed by Meta.

10. Advertising Creative

Where creative production is included in the Services, the Agency may create advertising images, videos, graphics, copy, headlines, descriptions, and other advertising materials.

The Client is responsible for reviewing and approving advertising materials before publication where approval is requested.

Once the Client approves an advertisement, the Client accepts responsibility for the accuracy of the approved information and claims.

11. Intellectual Property

Unless otherwise agreed in writing, the Agency retains ownership of its pre-existing templates, systems, processes, strategies, frameworks, and reusable materials.

Upon full payment of applicable Agency fees, ownership or usage rights for specifically commissioned final creative materials will be provided according to the applicable agreement.

Third-party assets, including stock images, fonts, music, software, templates, and other licensed materials, remain subject to their respective licenses.

12. Tracking and Analytics

Where applicable, the Agency may assist with Meta Pixel, Conversions API, events, or other tracking technologies.

Tracking accuracy may be affected by:

- Browser restrictions

- Device settings

- Privacy settings

- Consent requirements

- Website configuration

- Third-party changes

- Meta platform changes

- Technical errors

Therefore, reported results may not always represent every conversion or customer interaction.

13. Campaign Changes and Optimization

The Agency may make reasonable adjustments to campaigns based on performance data and the agreed strategy.

Such adjustments may include:

- Budget allocation

- Audience targeting

- Placements

- Creative variations

- Bidding settings

- Campaign structure

- Ad copy

- Optimization settings

The Agency will use reasonable professional judgment when optimizing campaigns.

14. Client Approval and Delays

Where Client approval is required, delays in providing approval, information, assets, or access may delay campaign launch or optimization.

The Agency is not responsible for delays caused by the Client.

15. Refunds

Meta advertising expenditure is generally non-refundable by the Agency because advertising funds are paid to or processed through Meta and are subject to Meta's systems and policies.

Agency management fees are also generally non-refundable for Services already performed.

Any refund will be handled according to the applicable service agreement and applicable law.

16. Account Suspension or Restriction

If Meta suspends, restricts, disables, or limits the Client's account, Page, Business Manager, Instagram account, or advertising activity, the Agency may assist with reasonable troubleshooting or appeal procedures where such assistance is included in the Services.

However, the Agency does not guarantee that Meta will restore the account or approve an appeal.

17. Third-Party Platforms

Meta advertising may depend on other services, including websites, landing pages, payment systems, CRMs, analytics tools, hosting providers, and third-party software.

The Agency is not responsible for failures caused by third-party services outside its reasonable control.

18. Confidentiality and Account Security

The Agency will take reasonable measures to protect Client information and account access.

The Client should not share unnecessary passwords or sensitive credentials when appropriate platform access can be granted through Meta's permission system.

The Client is responsible for maintaining the security of its own accounts and payment information.

19. Limitation of Liability

To the maximum extent permitted by applicable law, the Agency will not be liable for indirect, incidental, consequential, or special losses arising from Meta advertising campaigns, including loss of profits, revenue, customers, business opportunities, or data.

The Agency is not responsible for decisions, technical failures, policy changes, account restrictions, outages, or other actions taken by Meta.

Nothing in these Terms excludes liability that cannot legally be excluded.

20. Termination

Either party may terminate the Services in accordance with the applicable agreement.

The Agency may suspend or terminate Services if:

- Agency fees remain unpaid;

- The Client requests unlawful or prohibited advertising;

- The Client materially breaches these Terms;

- Continued management creates unreasonable legal or security risks.

Upon termination, the Client remains responsible for fees and approved expenses incurred before termination.

21. Policy Changes

Meta may change its advertising policies, platform functionality, targeting options, review procedures, or technical requirements.

If such changes materially affect a campaign, the Agency may modify the campaign strategy or creative to the extent reasonably necessary.

Additional work resulting from substantial platform changes may be subject to additional fees if outside the agreed scope.

22. Agreement to Terms

By engaging ORION AD AGENCY for Meta advertising Services, the Client confirms that it understands:

1. Meta is an independent third-party platform.

2. Advertising results are not guaranteed.

3. Meta may reject or restrict advertisements.

4. Meta may suspend or disable advertising accounts.

5. Meta advertising spend is separate from Agency fees.

6. The Client is responsible for the legality and accuracy of its products, services, offers, and claims.

7. The Agency will make reasonable professional efforts but cannot control Meta's platform or advertising decisions.
